Centre Condorcet shall provide such services as have been specifically agreed with the Client. The services by Centre Condorcet are provided to the best of its abilities, but, unless specifically agreed otherwise in writing, Centre Condorcet shall not be bound by any obligation to achieve any specific result.
Centre Condorcet undertakes that any confidential information relating to the Client provided to Centre Condorcet shall be kept secret and shall not be disclosed to any person except as is reasonably required to enable Centre Condorcet to perform its duties to the Client. This undertaking shall remain in force not whithstanding the termination of the Agreement.
Centre Condorcet shall exercise the utmost discretion in its dealings with the Client. It shall not use the Client’s name as a reference unless previously agreed in writing.
Centre Condorcet shall not be liable for any failure or properly perform any of its duties to the Client where such failure to perform is due to factors beyond the reasonable control of Centre Condorcet. Unless otherwise agreed in writing, Centre Condorcet shall not be liable for loss or damage suffered by the Client as a result of any delay by Centre Condorcet in providing the services or the advice to the Client. In no case shall Centre Condorcet or its agents be held liable for any damage or loss incurred by the Client or any other party as a result of the advice or the services provided by Centre Condorcet or it’s a gents, except in case of an intentional error by Centre Condorcet.
The Client shall ensure that any confidential information relating to Centre Condorcet or its business is kept secret and is not disclosed to any other person or company.
Copyright and all other intellectual property rights in any material, in whatsoever form, prepared by, or on behalf of Centre Condorcet and supplied to the Client shall belong exclusively to Centre Condorcet. The Client may only use or permit the use of the said material or any information provided to it by Centre Condorcet for the purpose of its own business and no disclosure to third parties in whatever form is permitted without the prior written agreement of Centre Condorcet, which agreement shall specify the material or information in question which may be disclosed as well as the person(s) to whom it may be disclosed. For the purpose of the above, third party shall be any company, organisation or other body which is not a subsidiary of the Client or which is not a member of the group of companies to which the Client belongs or, in the case where the Client is a partnership or association, is not a member of same. In the event of there being any unauthorised use of said information by any third party, Centre Condorcet shall be entitled to recover from the Client an additional fee equal to 50% of the fee charged by Centre Condorcet to the Client, this without prejudice to Centre Condorcet’s right to prove any additional damages or loss.
The Client shall pay to Centre Condorcet the fees expenses as specified in the Agreement, plus any applicable VAT or other similar taxes. All bank, exchange and other similar costs shall be borne by the Client. The Client shall notify Centre Condorcet of any complaint concerning the services rendered, by registered mail within ten calendar days after the date of issue of Centre Condorcet’s invoice. Failing any said complaint, the invoice and the services to which the invoice refers are deemed to have been unconditionally and irrevocably accepted by the Client. All invoices shall be fully payable within 30 days of issue. If Centre Condorcet does not receive payment in full on this day, interest shall be legally owed from the first day following this day, which interest shall be charged at a rate of 12% per annum. Centre Condorcet also reserves the right to increase the sum of the invoice by 10% by way of compensation with a minimum of 50 euros, without prejudice of Centre Condorcet’s right to claim reimbursement of the legal costs, reasonable compensation for any relevant collection costs and any other possible compensation on the basis of the applicable legal provisions. In the event of the Client failing to pay in full any invoice of Centre Condorcet within the said term of 30 days, all other invoices issued by Centre Condorcet to Client shall become automatically due and payable irrespective of any credit- terms or extensions of time previously agreed between Centre Condorcet and the Client.
When registering for our workshops, a full payment is due upon registration and will be not refundable
Either party may terminate the Agreement without notice: – if the other party shall fail to make good any remediable breach of its obligations under the Agreement within 30 days of being served written notice from the other party requiring it to do so or shall commit any substantial irremediable breach; – if the other party files for bankruptcy, is declared bankrupt, becomes insolvent, compounds with its creditors, commences to be wound up or suffers any distress or execution to be levied against it or has a Trustee, Administrator or Administrative Receiver appointed to manage all or any of its assets or takes or suffers any similar action in consequence of debt, Such termination shall be without prejudice to the liabilities of the party which have arisen prior to termination and to any claims for damages or other remedies. On termination as set out above, the Client shall immediately pay to Centre Condorcet all work done up to the date of termination and all arrears of fees and any other sums due under the terms of the Agreement, including any interest.
The agreement is governed by the Belgian Law and parties hereby consent to the exclusive jurisdisction of the courts of Brussels in respect of any dispute.
In the event of the above terms being partially or wholly null or invalid, said nullity or invalidity shall have no effect on the remaining terms which shall remain in full force and effect.
Les présentes conditions générales s’appliquent à tout accord ou arrangement (ci-après « Contrat ») portant sur la fourniture de services par Centre Condorcet asbl (ci-après « Centre Condorcet ») à toute personne, entreprise ou société, organisme ou autorité publique (ci-après « le Client »). Sauf convention contraire expresse par écrit, ces conditions prévalent sur toutes autres conditions générales du Client ou sur d’autres conditions contenues ou mentionnées dans toute correspondance, document, contrat ou ailleurs.
Le Centre Condorcet fournira les prestations expressément convenues avec le Client. Les services du Centre Condorcet sont fournis au mieux de ses capacités, mais, sauf convention contraire expresse et écrite, le Centre Condorcet ne sera tenu à aucune obligation d’atteindre un résultat spécifique.
Le Centre Condorcet s’engage à ce que toute information confidentielle relative au Client fourni au Centre Condorcet soit gardée secrète et ne soit divulguée à personne, sauf dans la mesure où cela est raisonnablement requis pour permettre au Centre Condorcet d’exercer ses fonctions envers le Client. Cet engagement restera en vigueur nonobstant la résiliation de l’Accord.
Le Centre Condorcet exerce la plus grande discrétion dans ses relations avec le Client. Il n’utilisera pas le nom du Client comme référence sauf accord préalable écrit.
Le Centre Condorcet ne sera pas responsable de tout manquement ou de l’exécution correcte de l’une de ses fonctions envers le Client lorsque ce manquement est dû à des facteurs indépendants de la volonté du Centre Condorcet. Sauf convention écrite contraire, le Centre Condorcet ne sera pas responsable des pertes ou dommages subis par le Client du fait de tout retard du Centre Condorcet dans la fourniture des services ou des conseils au Client. En aucun cas le Centre Condorcet ou ses mandataires ne pourront être tenus responsables de tout dommage ou perte subis par le Client ou toute autre partie du fait des conseils ou des services fournis par le Centre Condorcet ou ses mandataires, sauf en cas d’erreur intentionnelle par le Centre Condorcet.
Toute responsabilité du Centre Condorcet pour tout dommage ou préjudice subi par le Client ou toute autre partie du fait des conseils ou des services fournis par le Centre Condorcet sera limitée à un montant maximum n’excédant pas la rémunération facturée (hors TVA) pour les prestations fournies au Client.
Le Client fournira sans délai au Centre Condorcet les instructions appropriées et toutes les informations raisonnablement requises afin que le Centre Condorcet puisse exécuter ses obligations en vertu de la Convention. Le Client est tenu de s’assurer que ces informations sont exactes, complètes, non trompeuses et que leur divulgation au Centre Condorcet n’entraîne pas de violation des droits d’autrui. Le Client devra également fournir dans les meilleurs délais au Centre Condorcet les explications et autres prestations que le Centre Condorcet peut raisonnablement exiger pour l’exécution du Contrat.
Le Client veillera à ce que toute information confidentielle relative au Centre Condorcet ou à son activité soit gardée secrète et ne soit divulguée à aucune autre personne ou société.
Les droits d’auteur et tous les autres droits de propriété intellectuelle sur tout matériel, sous quelque forme que ce soit, préparé par ou au nom du Centre Condorcet et fourni au Client appartiennent exclusivement au Centre Condorcet. Le Client ne peut utiliser ou permettre l’utilisation dudit matériel ou de toute information qui lui est fournie par le Centre Condorcet que dans le cadre de ses propres affaires et aucune divulgation à des tiers sous quelque forme que ce soit n’est autorisée sans l’accord préalable écrit du Centre Condorcet, qui l’accord doit spécifier le matériel ou les informations en question qui peuvent être divulgués ainsi que la ou les personnes à qui ils peuvent être divulgués. Aux fins de ce qui précède, on entend par tiers toute entreprise, organisation ou autre organisme qui n’est pas une filiale du Client ou qui n’est pas membre du groupe d’entreprises auquel appartient le Client ou, dans le cas où le Client est une société de personnes ou une association, n’en est pas membre. En cas d’utilisation non autorisée desdites informations par un tiers, Centre Condorcet sera en droit de récupérer auprès du Client un supplément de prix égal à 50 % des honoraires facturés par Centre Condorcet au Client, ceci sans préjudice de Centre Condorcet a le droit de prouver tout dommage ou perte supplémentaire.
Le Client paiera au Centre Condorcet les frais d’honoraires tels que spécifiés dans le Contrat, majorés de toute TVA applicable ou autres taxes similaires. Tous les frais bancaires, de change et autres frais similaires sont à la charge du Client. Le Client devra notifier au Centre Condorcet toute réclamation concernant les prestations rendues, par courrier recommandé dans les dix jours calendaires suivant la date d’émission de la facture du Centre Condorcet. A défaut d’une telle réclamation, la facture et les prestations auxquelles la facture se réfère sont réputées avoir été acceptées inconditionnellement et irrévocablement par le Client. Toutes les factures sont payables intégralement dans les 30 jours suivant leur émission. Si le Centre Condorcet n’est pas entièrement payé ce jour, des intérêts seront légalement dus à compter du premier jour suivant ce jour, intérêts qui seront facturés au taux de 12 % l’an. Le Centre Condorcet se réserve également le droit d’augmenter le montant de la facture de 10 % à titre d’indemnité avec un minimum de 50 euros, sans préjudice du droit du Centre Condorcet de réclamer le remboursement des frais de justice, une indemnité raisonnable pour tous frais de recouvrement y afférents et autre indemnisation possible sur la base des dispositions légales applicables. En cas de non-paiement par le Client de l’intégralité d’une facture du Centre Condorcet dans ledit délai de 30 jours, toutes les autres factures émises par le Centre Condorcet au Client deviendront automatiquement exigibles et payables quelles que soient les conditions de crédit ou les prolongations de délai antérieures, convenu entre le Centre Condorcet et le Client.
Lors de l’inscription à nos ateliers, un paiement complet est dû à l’inscription et ne sera pas remboursable
L’une ou l’autre des parties peut résilier le Contrat sans préavis : – si l’autre partie ne parvient pas à réparer un manquement remédiable à ses obligations en vertu du Contrat dans les 30 jours suivant la notification écrite de l’autre partie lui enjoignant de le faire ou commet un manquement irrémédiable ; – si l’autre partie dépose le bilan, est déclarée en faillite, devient insolvable, s’entend avec ses créanciers, commence à être liquidée ou subit une saisie ou une exécution à son encontre ou à un syndic, un administrateur ou un séquestre administratif nommé pour gérer tous ou l’un de ses actifs ou entreprend ou subit une action similaire en raison d’une dette, cette résiliation sera sans préjudice des responsabilités de la partie qui sont survenues avant la résiliation et de toute demande de dommages-intérêts ou d’autres recours. En cas de résiliation telle qu’énoncée ci-dessus, le Client versera immédiatement au Centre Condorcet tous travaux effectués jusqu’à la date de résiliation ainsi que tous les arriérés d’honoraires et toutes autres sommes dues au titre du Contrat, y compris les intérêts éventuels.
Le contrat est régi par le droit belge et les parties consentent par la présente à la compétence exclusive des tribunaux de Bruxelles pour tout litige.
Dans le cas où les termes ci-dessus seraient partiellement ou totalement nuls ou invalides, ladite nullité ou invalidité n’aura aucun effet sur les termes restants qui resteront en vigueur et de plein effet.
